TERMS & CONDITIONS

1. Introduction These Terms govern your use of semi.services, operated by Positive Neutral s.r.o. (Czech Republic). By using our website, placing an order, or engaging our services, you agree to these Terms. Read alongside our Privacy Policy.

2. Products & Services

• E-commerce: physical and/or digital products sold through our online store
• Blog & Content: articles and guides for informational purposes only, not professional advice
• Services: professional services as described on the website; scope and pricing agreed in writing

All prices include applicable VAT unless stated otherwise.

3. Orders & Payment

• Placing an order is an offer to purchase; acceptance occurs on dispatch or written service confirmation
• Payment is taken at checkout via major credit/debit cards and other displayed methods
• Order confirmation is sent by email within 24 hours
• Pricing errors may result in order cancellation and full refund

4. Cancellations & Refunds

• EU consumers have a 14-day right of withdrawal from receipt of goods or contract conclusion for services/digital content (Directive 2011/83/EU)
• To withdraw, email samuelorlita@positiveneutral.com before the period expires
• Exceptions: downloaded digital content (with prior consent), personalised goods, fully performed services
• Refunds issued within 14 days via original payment method; return shipping costs are the buyer's responsibility unless goods are faulty
• Faulty or incorrect goods: contact us within 30 days for replacement, repair, or full refund
• Service cancellations: full refund if cancelled 7+ days before start; cancellation fee may apply within 7 days

5. User Accounts You must be 18+. You agree to provide accurate information, keep your password confidential, and accept responsibility for all account activity. We may suspend accounts that violate these Terms.

6. Intellectual Property All website content is owned by Positive Neutral s.r.o. or its licensors. You may use it for personal, non-commercial purposes only. Copying, redistributing, or commercial use without written consent is prohibited.

7. User-Generated Content By submitting reviews or comments, you grant us a royalty-free licence to use that content. You confirm it is accurate, lawful, and does not infringe third-party rights. We may remove content that violates these Terms.

8. Prohibited Uses You must not use the site for unlawful purposes, fraud, spam, unauthorised system access, introducing malware, scraping data, impersonation, or disrupting other users' experience.

9. Disclaimers & Limitation of Liability We do not guarantee uninterrupted website availability or content accuracy. To the fullest extent permitted by law, our liability is limited to the amount you paid for the relevant product or service. Nothing limits liability for death, personal injury, or fraud.

10. Indemnification You agree to indemnify Positive Neutral s.r.o. against claims arising from your use of the site, violation of these Terms, or infringement of third-party rights.

11. Governing Law These Terms are governed by Czech law (Civil Code, Act No. 89/2012 Coll.). EU consumers also benefit from mandatory consumer protection laws in their country of residence.

12. Dispute Resolution Contact us first to resolve disputes informally. Czech courts have jurisdiction for unresolved disputes. EU consumers may also use the EU ODR platform: ec.europa.eu/consumers/odr, or contact the Czech Trade Inspection Authority (ČOI): www.coi.cz.

13. Changes to Terms We may update these Terms at any time. Material changes will be notified by email and posted here with a revised effective date.

RETURN AND REFUND POLICY

Effective date: August 25, 2026

1. Overview At Semi Services, operated by Positive Neutral s.r.o., we want you to be completely satisfied with your purchase. This policy explains your rights and our procedures for returns, exchanges, and refunds.

2. Your Right of Withdrawal (EU Consumers) If you are based in the European Union, you have the right to withdraw from your purchase within 14 days without giving any reason, in accordance with EU Directive 2011/83/EU.

The withdrawal period begins:

• For physical goods: the day you (or a nominated third party) receive the goods
• For services: the day the contract is concluded
• For digital content: the day the contract is concluded (unless download has begun with your prior consent)

To exercise your right of withdrawal, notify us before the 14-day period expires by emailing samuelorlita@positiveneutral.com with your order number and a clear statement of your decision to withdraw.

3. How to Request a Return

1. Email us at samuelorlita@positiveneutral.com within 14 days of receiving your order
2. Include your order number, the item(s) you wish to return, and the reason
3. We will respond within 2 business days with return instructions
4. Pack the item securely in its original packaging where possible
5. Ship the item back to the address provided in our return instructions

4. Return Conditions To be eligible for a return, items must be:

• Returned within 14 days of our return authorisation
• Unused, undamaged, and in their original condition
• In original packaging where applicable

We reserve the right to refuse returns that do not meet these conditions or to apply a deduction for any diminished value resulting from handling beyond what is necessary to assess the nature and functioning of the goods.

5. Return Shipping Costs

• If you are returning an item under your right of withdrawal, return shipping costs are your responsibility unless we agree otherwise
• If the item is faulty, damaged, or incorrect, we will cover all return shipping costs
• We recommend using a tracked shipping service as we cannot be responsible for items lost in transit

6. Refunds Once we receive and inspect your returned item, we will notify you by email. If approved:

• Refunds are processed within 14 days of receiving the returned goods or proof of return shipment (whichever is earlier)
• Refunds are issued via the original payment method
• Standard delivery costs paid at checkout are included in the refund for full returns; we are not obliged to refund premium or express delivery upgrades

7. Faulty, Damaged, or Incorrect Items If you receive an item that is faulty, damaged in transit, or not what you ordered:

• Contact us within 30 days of receipt at samuelorlita@positiveneutral.com
• Include your order number, a description of the issue, and photos where possible
• We will offer a replacement, repair, or full refund at no cost to you, including return shipping

8. Exceptions — Non-Returnable Items The following cannot be returned or refunded unless faulty:

• Digital products or downloads where delivery has begun with your prior consent and acknowledgement that the right of withdrawal is lost
• Personalised or custom-made goods
• Perishable goods
• Sealed goods that have been opened and cannot be returned for hygiene or health protection reasons
• Services that have been fully performed with your prior consent

9. Exchanges We do not offer direct exchanges. If you would like a different item, please return the original for a refund and place a new order.

10. Late or Missing Refunds If you have not received your refund within the stated timeframe:

1. Check your bank account again
2. Contact your credit card provider — processing times vary
3. Contact your bank — there is often a processing delay before a refund appears
